What’s New
May 3, 2023
- Freelancer service fees = flat fee of 10%
- Freelancers with contracts at 5% will continue to have 5% throughout the rest of 2023; they’ll move to 10% in 2024
April 26, 2023
- Clients have a contract initiation fee (CIF) charge for each contract of up to $4.95 per contract
- If an offer was made before April 26, they will not be charged the CIF regardless of offer acceptance date
- On external-facing help articles, it’s being shared the charge is “up to a $4.95” per contract (charged upon first contract payment) Internal only info - there’s a small test group of clients with a $4.95 CIF, but everyone else has a $2.95 CIF
- A CL will know their specific charge for CIF when they go through the checkout flow - it will quote them with $2.95 or $4.95
- While the SMF banners are up, their accounts can be sudo’d to see their specific message; this message will identify their exact charge
- If they received the email back in March, their email will also identify the exact charge
- All contracts, starting on May 3rd and onward, will be starting at a 10% flat fee for the life of the contract
- 20% TSF contracts will move to 10% on their next invoice
- For Hourly - for any hours added in May 1st to May 2nd, as these are invoiced after May 3rd, those hours will receive 10% fees
- For Fixed Price - for any work approved on May 3rd or after, as these are invoiced from launch date or after, they will receive 10% fees
- 10% contracts will remain 10%
- 5% contract will remain at the 5% legacy percentage throughout 2023 until 2024 when they move to 10%
- This is at the contract level only
- 20% TSF contracts will move to 10% on their next invoice
Freelancer invoices typically show the breakdown of the service fees, but the new invoices will show a “blended” rate with one line item for rate.
To determine the % a FL is being charged:
IMPORTANT: The Assignments page shows what the FL’s fee was pre-launch only. To find their fee today, follow the below steps. There is a slightly migration lag with non-TSF contracts from the exceptions section. UBO will likely show 10%, but after the first payment after launch, it should reflect the proper percentage in UBO.

The following contracts will not be impacted by these fee changes:
- Direct contracts
- BYO
- Any hire
- Talent scout contracts
- Payroll contracts
- Enterprise contracts
- Most Ent contracts already have a 10% service fee as the previous TSF did not apply. However, if a freelancer had switched from a Marketplace contract at 5% to an Ent contract, they will keep the 5% fee through the end of 2023.

These escalation paths are specific for:
- Freelancers that have $9k to <$10k of earnings with a client (most of these should have a special internal note in their OBO account)
- EDC (Elance to Upwork migrated contracts)
5% relationships where the client created a new contract & FL is upset re: 10% contract (we can provide a one-time exception)

If you start a new contract, your freelancer service fee will be 10%. The 10% fee applies to all new contracts, even if you have a past or existing contract with the client.
- Will agencies be impacted by these changes?
Yes, the 10% freelancer service fee will be for all future earnings on contracts, including agency contracts. For agency contracts that are already paying a 5% freelancer service fee, the 5% rate will continue through the end of 2023.
- Will these changes impact my contracts with Enterprise clients, or my Upwork Payroll, Any Hire contracts, or Talent Scout contracts?
Upwork Payroll, Any Hire, and Talent Scout contracts will not be impacted by these fee changes.
If you have an Enterprise contract that has a 5% freelancer service fee, your fee will move to 10% at the end of 2023. If you have a 5% Marketplace contract that switches to a new Enterprise contract during 2023, we will honor the 5% freelancer service fee for the new Enterprise contract through the end of 2023.

Yes, you will pay the contract initiation fee for the start of a new contract with an agency.
If I hire multiple freelancers for one job through an agency or through a team proposal, will I have to pay the one-time contract initiation fee on each freelancer’s contract?
Yes, each new contract with a different freelancer will have a once-per-contract initiation fee, even if all the freelancers work for the same agency. If you hire 3 freelancers to work on a job, you’ll pay the fee 3 times.
If I rehire a freelancer I’ve worked with before, will you charge the contract initiation fee?
Yes, the fee is per contract. If you start a new contract, you will pay the contract initiation fee even if you have worked with the freelancer before.

What is the contract initiation fee?

When does the contract initiation fee go into effect?

On a fixed-price contract, do I have to pay the contract initiation fee when I fund the contract or first milestone?
Yes, you will pay the once-per-contract initiation fee at the same time that you fund the first escrow deposit for fixed-price contracts. However, if the contract is canceled and no payment is released to the freelancer, we will return the contract initiation fee.

No, the contract initiation fee is a flat fee of up to $4.95. You’ll be able to see the exact amount for your contract when you check out. The contract initiation fee will show as a separate line item.
If a freelancer refunds my contract payment, will you also refund my contract initiation fee?
No, the once-per-contract initiation fee will not be refunded after you have made a payment to a freelancer, even if the freelancer issues you a refund.
If I dispute a contract and win my dispute, will you refund my contract initiation fee?

Where will I see the contract initiation fee in my invoices and reports? Will it be included in the Weekly Billing Summary?
You will have a separate invoice for the contract initiation fee, which includes the fee and any applicable taxes on the fee. You’ll also see the fee and any applicable taxes as line items on your Transaction History Report. It will not display on your Weekly Billing Summary, which reflects payments to freelancers.
Will I pay the contract initiation fee if I hire an agency?
Yes, you will pay the contract initiation fee for the start of a new contract with an agency.
If I hire multiple freelancers for one job through an agency or through a team proposal, will I have to pay the one-time contract initiation fee on each freelancer’s contract?

If I rehire a freelancer I’ve worked with before, will you charge the contract initiation fee?
Yes, the fee is per contract. If you start a new contract, you will pay the contract initiation fee even if you have worked with the freelancer before.
If I close a contract and create a new one to switch from fixed-rate to hourly, or vice-versa, with the same freelancer, will I pay another contract initiation fee?
That depends on whether you have already activated the contract with a payment to the freelancer. Here’s how it works for hourly and fixed-price contracts:

- If the freelancer hasn’t logged any hours yet, you can cancel without a contract initiation fee on the initial contract, since we don’t charge the fee until you make your first hourly payment.

No, freelancers who work on Direct Contracts fees will continue to pay a processing fee of 3.4% and no additional freelancer service fees. Your clients will continue to pay their usual processing fee, and we are not charging them a contract initiation fee.
Is the price of Connects changing?
No, the price of Connects is not changing at this time.
You may have noticed we recently adjusted the number of Connects needed per job to better match the demand for jobs in the Marketplace. Can I just continue with a contract and avoid creating new ones so that I can avoid the contract initiation fee/I’ll just keep my contracts open instead of creating new ones to avoid this fee?
We encourage longer-term relationships and contracts between clients and freelancers. While you may have set a deadline for completed work on your original job posting, you and your freelancer may continue working together past that date as long as you both agree.
If you and your freelancer are happy with your current hourly or fixed-price contract, you wouldn’t need to create a new one for each task unless you needed to do so for your own records or billing.
You can continue approving hours for hourly jobs, and you can add new milestones for fixed-price contracts.
We’ll only close the contract if it is inactive for 90 days with funds in escrow, since we have to return those funds if they sit dormant for 90 days. If there are no funds in escrow or if activity and payments are ongoing, we’ll leave the contract open for you until you close it.
For projects on Project Catalog or consultations, you will need to purchase another project or start a new contract on Upwork Marketplace to continue working together.
Between the marketplace fee and the contract initiation fee, this makes it difficult for me to hire freelancers for smaller projects.
Yes, this contract initiation fee may have more of a proportional impact on smaller contracts. However, the reduced freelancer service fees on the first $500 of a new contract may also encourage more freelancers to apply to smaller projects, which could increase your choice of freelancers and make it easier to find someone who can work with your budget.
Why does the contract initiation fee vary?
Contract initiation fees may vary, up to $4.95, as we collect data and feedback. Once complete, we will update Help and Community and directly notify all impacted customers in advance of any pricing updates.
Are there any cohorts of customers that are being held back on legacy plans as part of a pricing QT?
The contract initiation fee will be launched as part of a pricing QT with 2 test cells in addition to the $2.95 baseline price point; a higher price group ($4.95) and a hold out group (no contract initiation fee). We expect to default to the optimal price point for all new contracts at the conclusion of the test, which is expected to run for approximately 6 months.
What contracts are eligible for legacy rates post-Shamrock cut-over on 5/3/2023?
All Marketplace contracts will move to 10% freelancer service fees with the exception of those that exceed $10K in billings as of 5/3/2023, which will remain at 5% through the end of 2023, then will move to 10%.
How long do we honor legacy contracts?
We will honor legacy contracts that have 5% freelancer service fees as of May 3, 2023 through the end of 2023, then they will move to 10%.
What are we doing with EVT & PP1?
They will be migrated to the same 10% freelancer service fee structure.
Are there any measures in place to prevent circumvention? Since the initiation fee is refunded if the contract is canceled without payment, what's keeping customers from sharing contact info after the start of the contract and then taking the project off platform to avoid the new fees?
We discussed the potential to charge right away, partly to prevent circumvention, (Zach from product team actually really likes that idea) but landed on not wanting to create additional friction in the hiring process. At this time, we do not have plans to address circumvention specifically for this initiative but will consider this issue when monitoring the impact of the changes.
For the EDC contracts - CL / FL relationships that moved from Elance to Upwork that don’t currently have the TSFs, example contract here - when this change takes place in April, will these contracts stay as is, or will they move up to 10%?
The EDC contracts will begin having freelancer service fees and will have the 10% freelancer service fees. They will not be impacted by the client initiation fee since the contract already exists.
Could we have an option (like with Conversion fees) where the freelancer makes the contract initiation payment on behalf of the client?
We are not making that an option at this time.
Would / can there be a threshold of payments after which the contract initiation fee is no longer "valid" and we refund the CL? i.e. If the contract reaches $1,000 (as an example) we return the CIF?
These changes help meet several goals, including tying revenue to costs and reducing workloads and costs on the backend by keeping things simple. We do have more costs and risks for new contracts than for existing contracts, and charging or refunding any fees based on contract volume creates more cost and work on the backend.
